By registering for an account, accessing, subscribing to, or using ReferralCRM, you acknowledge that you have read, understood, and agreed to these Terms. If you do not agree with any part of these Terms, you should not access or use the Service.

1. About ReferralCRM

ReferralCRM is a software-as-a-service platform operated by Techguard Digital Solutions Pvt Ltd and is designed to assist businesses and organizations in managing referrals, leads, customers, contacts, relationships, follow-ups, and related business activities. The features, functionality, availability, and pricing of ReferralCRM may vary depending on the subscription plan selected by the User.

2. Eligibility and Account Registration

To use ReferralCRM, you must provide accurate, complete, and current information during the registration process and maintain the accuracy of such information throughout your use of the Service. You are responsible for maintaining the confidentiality of your account credentials and for all activities performed through your account. You must immediately notify us if you become aware of unauthorized access to or use of your account. We reserve the right to suspend or terminate accounts where information provided is materially inaccurate, misleading, fraudulent, or where the account is being used in violation of these Terms or applicable law.

You are responsible for ensuring that your use of ReferralCRM complies with all applicable laws, rules, regulations, and contractual obligations. If you use ReferralCRM on behalf of a company, organization, or other legal entity, you represent that you have the authority to accept these Terms on behalf of that entity.

3. Use of the Service

You may use ReferralCRM only for legitimate business and organizational purposes and in accordance with these Terms. You agree not to use the Service to violate any applicable law or regulation, infringe the rights of another person or organization, transmit unlawful or harmful material, distribute malware or malicious software, attempt to gain unauthorized access to our systems, interfere with the operation or security of the Service, abuse or overload our infrastructure, send spam or unsolicited communications in violation of applicable law, impersonate another person or organization, or use the Service for fraudulent, deceptive, or illegal activities.

You must not attempt to reverse engineer, decompile, disassemble, modify, copy, reproduce, distribute, resell, lease, sublicense, or otherwise exploit any portion of ReferralCRM unless expressly authorized by us in writing or permitted by applicable law.

4. Customer and Referral Data

ReferralCRM allows Users to enter, upload, store, manage, and process information relating to their customers, prospects, referrals, leads, employees, business partners, and other contacts. You retain responsibility for the data and content that you submit to the Service.

You represent and warrant that you have the necessary rights, permissions, authorizations, consents, or other lawful basis to collect, use, upload, and process any personal information or other data that you provide through ReferralCRM. You must not upload or process information through ReferralCRM in violation of applicable privacy, data protection, telecommunications, marketing, or other laws.

Where you use ReferralCRM to manage personal information belonging to your customers or other individuals, you are responsible for providing any legally required privacy notices and obtaining any required consent or authorization. Our processing of such information is further described in our Privacy Policy.

5. User Content and Data

You retain ownership of the business data, customer information, documents, records, text, files, and other content that you submit to ReferralCRM (“User Content”), except for rights that you grant to us under these Terms.

You grant Techguard Digital Solutions Pvt Ltd a limited, non-exclusive, worldwide, royalty-free license to host, store, reproduce, transmit, process, and otherwise use User Content solely to the extent reasonably necessary to provide, maintain, secure, support, and improve ReferralCRM and to fulfil our contractual and legal obligations.

We do not claim ownership of your customer or business data merely because you store it within ReferralCRM.

6. Subscription Plans and Payments

ReferralCRM may provide free, trial, paid, monthly, annual, or other subscription plans. The features, usage limits, pricing, billing frequency, and other conditions applicable to each plan will be communicated to you at the time of purchase or subscription.

By subscribing to a paid ReferralCRM plan, you agree to pay the applicable subscription fees, taxes, and other charges displayed at the time of purchase. Payments may be processed through third-party payment service providers, including Razorpay or other payment gateways. You authorize the applicable payment provider to process payments using the payment method selected by you.

Where recurring billing is enabled, your subscription may automatically renew at the end of each billing period unless you cancel the subscription before the applicable renewal date. You are responsible for maintaining accurate billing information and ensuring that sufficient funds or a valid payment method are available for recurring charges.

7. Cancellation and Refunds

You may cancel your ReferralCRM subscription in accordance with the cancellation options provided within the Service or by contacting us at rbcclubindia@gmail.com. Unless otherwise stated at the time of purchase or required by applicable law, cancellation will generally prevent renewal for the next billing period but will not automatically result in a refund for the current billing period.

Refunds are governed by our Refund & Cancellation Policy, which forms part of these Terms. Where a payment has been duplicated, incorrectly charged due to a technical or billing error attributable to the Company, or where a refund is otherwise required by applicable law, we may process an appropriate refund.

8. Intellectual Property

ReferralCRM, including its software, source code, object code, architecture, design, user interface, trademarks, logos, graphics, documentation, features, functionality, and other original materials, is owned by or licensed to Techguard Digital Solutions Pvt Ltd and is protected by applicable intellectual property laws.

Subject to your compliance with these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, non-sublicensable right to access and use ReferralCRM during your active subscription solely for your legitimate internal business purposes.

Nothing in these Terms transfers ownership of ReferralCRM or any Company intellectual property to you. You may not copy, modify, reproduce, distribute, sell, sublicense, lease, reverse engineer, decompile, disassemble, or create derivative works from ReferralCRM except where expressly permitted by us or applicable law.

9. Third-Party Services and Integrations

ReferralCRM may integrate with or provide access to third-party products, services, APIs, payment gateways, communication platforms, cloud infrastructure, analytics services, or other external services. Your use of such third-party services may be subject to separate terms and privacy policies established by the relevant third-party provider.

Techguard Digital Solutions Pvt Ltd is not responsible for the availability, functionality, security, privacy practices, or performance of third-party services that are outside our reasonable control. We may modify, suspend, or discontinue third-party integrations where necessary due to technical, commercial, security, legal, or operational reasons.

10. Service Availability and Changes

We will make reasonable efforts to keep ReferralCRM available and operational; however, we do not guarantee that the Service will always be uninterrupted, error-free, secure, or available at all times. The Service may occasionally be unavailable due to maintenance, upgrades, technical failures, security incidents, infrastructure issues, internet connectivity problems, third-party service failures, or circumstances beyond our reasonable control.

We may modify, update, add, remove, suspend, or discontinue features of ReferralCRM from time to time. Where a material change substantially affects a paid subscription, we may provide appropriate notice where required by applicable law or contractual obligations.

11. Data Backup and Responsibility

We may maintain backups and recovery mechanisms as part of our operational and security practices. However, you remain responsible for maintaining appropriate copies of important business information and records that you submit to ReferralCRM.

We will take reasonable measures to protect and maintain the availability of User Content, but we do not guarantee that loss of data will never occur. You should not rely on ReferralCRM as your sole repository for information that you are legally or operationally required to retain independently.

12. Privacy and Data Protection

Your use of ReferralCRM is also subject to our Privacy Policy, which explains how we collect, use, store, protect, and disclose personal information. By using ReferralCRM, you acknowledge that you have reviewed our Privacy Policy.

Where ReferralCRM processes personal information on behalf of a business customer, the business customer remains responsible for determining the lawful purposes for which such information is collected and used and for providing any notices or obtaining any permissions required under applicable law.

13. Confidentiality

Each party may receive or have access to confidential information belonging to the other party in connection with the Service. Each party agrees to use reasonable measures to protect confidential information and not disclose it to unauthorized persons, except where disclosure is required by law, necessary to provide the Service through authorized service providers, or otherwise permitted under these Terms.

Information that is publicly available, independently developed, lawfully obtained from another source, or required to be disclosed by law will not be considered confidential solely because it was previously provided.

14. Prohibited Activities

You agree not to use ReferralCRM to engage in activities that are unlawful, fraudulent, abusive, deceptive, harmful, or that may compromise the security or integrity of the Service. You must not attempt to access another user's account without authorization, interfere with another user's use of the Service, introduce malicious code, conduct unauthorized security testing, scrape or extract data through automated means without authorization, circumvent usage limits or security mechanisms, or use ReferralCRM to distribute content that violates applicable law or the rights of others.

We reserve the right to investigate suspected misuse and take appropriate action, including suspension or termination of access where reasonably necessary.

15. Suspension and Termination

You may stop using ReferralCRM and cancel your account at any time in accordance with the applicable cancellation terms. Techguard Digital Solutions Pvt Ltd may suspend or terminate your access to ReferralCRM if you materially breach these Terms, fail to make required payments, engage in fraudulent or unlawful activity, create a security risk, misuse the Service, or otherwise use the Service in a manner that may harm the Company, other users, or the Service.

Where reasonably practicable, we may provide notice before suspension or termination, except where immediate action is necessary to protect security, prevent fraud or unlawful activity, comply with legal requirements, or protect the Service or other users.

Upon termination, your right to access and use ReferralCRM will generally cease. Subject to applicable law and our retention obligations, we may delete or anonymize account information and User Content after the applicable retention period. You are responsible for exporting any data you require before termination where an export facility is available.

16. Disclaimer of Warranties

To the maximum extent permitted by applicable law, ReferralCRM is provided on an “as available” and “as is” basis. We do not guarantee that the Service will meet every specific business requirement, operate without interruption or errors, or be compatible with every device, browser, system, integration, or third-party service.

We do not provide legal, tax, financial, accounting, compliance, or professional advice through ReferralCRM. You are responsible for determining how the Service is used within your business and for ensuring that your use of the Service complies with applicable laws and regulations.

17. Limitation of Liability

To the maximum extent permitted by applicable law, Techguard Digital Solutions Pvt Ltd shall not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, business opportunities, goodwill, or data arising from or relating to your use of ReferralCRM.

Our total aggregate liability arising out of or relating to the Service or these Terms shall, to the maximum extent permitted by applicable law, not exceed the total amount actually paid by you to Techguard Digital Solutions Pvt Ltd for ReferralCRM during the twelve months immediately preceding the event giving rise to the claim.

Nothing in these Terms is intended to exclude or limit liability that cannot legally be excluded or limited under applicable law.

18. Indemnification

To the extent permitted by applicable law, you agree to indemnify and hold harmless Techguard Digital Solutions Pvt Ltd, its directors, employees, representatives, contractors, and service providers from claims, losses, liabilities, damages, costs, and expenses arising from your misuse of ReferralCRM, violation of these Terms, violation of applicable law, infringement of third-party rights, or User Content submitted or processed through your account.

19. Force Majeure

We shall not be responsible for delays, interruptions, failures, or inability to provide the Service resulting from circumstances beyond our reasonable control, including natural disasters, acts of government, war, terrorism, civil disturbances, power failures, internet or telecommunications failures, cyberattacks, infrastructure failures, labor disputes, epidemics, pandemics, or failures of third-party service providers.

20. Changes to These Terms

Techguard Digital Solutions Pvt Ltd may modify these Terms from time to time to reflect changes to ReferralCRM, our business practices, technology, legal requirements, or operational needs. When material changes are made, we may provide notice through the Service, website, email, or another reasonable communication method.

The updated Terms will include a revised “Last Updated” date. Your continued use of ReferralCRM after these updated Terms become effective constitutes your acceptance of the revised Terms, to the extent permitted by applicable law. If you do not agree with a material change, you should discontinue use of the Service and cancel your subscription where applicable.

21. Governing Law and Jurisdiction

These Terms shall be governed by and interpreted in accordance with the laws of India. Subject to applicable law, any dispute arising from or relating to these Terms or your use of the Service shall be subject to the jurisdiction of the courts having appropriate jurisdiction over the registered office of Techguard Digital Solutions Pvt Ltd.

22. Severability

If any provision of these Terms is determined to be invalid, illegal, or unenforceable by a competent authority, that provision shall be interpreted or modified to the minimum extent necessary to make it enforceable, and the remaining provisions of these Terms shall continue in full force and effect.

23. Entire Agreement

These Terms, together with the ReferralCRM Privacy Policy, Refund & Cancellation Policy, and any other policies or agreements expressly incorporated into these Terms, constitute the agreement between you and Techguard Digital Solutions Pvt Ltd regarding your use of the Service and supersede prior agreements or understandings relating to the same subject matter, except where a separate written agreement has been entered into between the parties.
